Electronic Service Agreement

TERMS AND CONDITIONS

IMPORTANT: Please carefully read this entire Agreement before you use any Electronic Services (defined below) or access any Third Party Services (defined below). This Agreement contains provisions that limit or exclude our liability to you. By accessing or attempting to access any Electronic Services or Third Party Services, and/or by signing or otherwise accepting an electronic or paper copy of this Agreement, you acknowledge and agree that you have read and understand the terms of this Agreement, have received adequate explanation of the nature and scope of your obligations hereunder and have agreed to be bound by the terms of this Agreement. If you do not agree with each and every term of this Agreement, you may not use, or attempt to use, any Electronic Services or access any Third Party Services.

This Agreement replaces any agreement you may have previously entered into withCornerstone Credit Union [Limited] governing use of the Electronic Services. In exchange for the credit union permitting access and use of the Electronic Services, you agree as follows:

1. DEFINITIONS

"Account" means any available account held by the Account Holder with the Credit Union that may be accessed using the Electronic Services;

"Account Agreement", "Account Terms and Conditions" or "Financial Services Agreement" means the agreement(s) for operation of the Account;

"Account Holder" or "you" or "your" means you, as the person who has enrolled to access the Electronic Services;

"Credit Union" or "our" or "we" or “us” means Cornerstone Credit Union [Limited] and its successors and assigns;

“eBiller” means a person who uses the EDP Services to deliver bills and invoices to their customers electronically;

"Electronic Services" means collectively, any electronic access channels which the Credit Union may enable you to use by means of your PAC in combination with the Equipment, including Telephone Banking, Online Banking and all other electronic services offered by the Credit Union from time to time;

"EMT" or "transfer amount" means an Interac® e-Transfer sent or received through the EMT service;

"EMT Answer" means the word or phrase created by the sender of an EMT and used by the recipient to claim or decline the EMT;

"EMT Contact Information" means the electronic contact information including without limitation an email address or telephone number, used in sending and receiving of a money transfer using the EMT Service;

"EMT Service" means the Interac® e-Transfer service provided by Acxsys Corporation (doing business as CertaPay) that facilitates the sending and receiving of money transfers (using including without limitation email or telephone) through Online Banking to and from Participating Financial Institutions, and/or CertaPay payment service;

“epost™ Services” means an electronic mail service provided by EPO Inc. (doing business as epost™) that facilitates the delivery of bills and invoices from eBillers to their customers using the Electronic Services;

"Equipment" means a computer, internet browser, telephone, cell phone, smart phone, mobile electronic access device or any other electronic device, including wireless devices, which when used by the Account Holder in combination with the PAC, permits access to the Electronic Services;

“External Account” means an account held at (i) another Canadian financial institution; (ii) an Investment Industry Regulatory Organization of Canada registrant; (iii) a card issuer; or (iv) an entity eligible for membership with the Canadian Payments Association, provided in each case that such account is in the Account Holder's name or on which the Account Holder has the authority to independently authorize transactions;

"Instructions" means instructions given to the Credit Union with respect to operating an Account, authorizing Transactions, and/or making arrangements with the Credit Union;

"Mobile Banking" means access to Online Banking features through the use of certain equipment such as cell phones, smart phones, mobile electronic access devices or other electronic devices. Mobile Banking is part of Online Banking;

"Mobile Web" means the website we have specifically designed that allows you to access Online Banking through certain Equipment. Mobile Web is part of Online Banking.

"Online Banking" means our online banking service available via the Internet through the use of the PAC in combination with the Equipment. It includes the access channels offered through Mobile Banking and Mobile Web;

"PAC" means a confidential personal access codeyou select for your sole use to identify you, which when used in combination with the Equipment permits access to the Electronic Services;

"Participating Financial Institution" means a financial institution participating in EMT Services;

"Personal Verification Questions" means the questions and answers you may be required to choose, and provide answers to when prompted, to help confirm you are the person accessing the Electronic Services;

“Third Party” means any person, firm, corporation, association, organization or entity other than the Credit Union;

"Third Party Services" means any product or service of a Third Party available for purchase, access or use through the Credit Union website or through the Electronic Services;

"Telephone Banking Services" means our interactive voice response telephone banking service where offered by the Credit Union;

"Transaction" means any account or service transaction performed using the Electronic Services.

2. USE OF SERVICES

You may only use the Electronic Services to access an Account you are authorized to access and to conduct such Transactions as you are authorized to conduct.

You will not use the Electronic Services or access any Third Party Services for any illegal or improper purpose or take any action that could undermine the security or integrity of, or interrupt the operations of, the systems upon which the Credit Union provides the Electronic Services or access to Third Party Services.

You (and not the Credit Union) assume the entire cost of all Equipment and the necessary connectivity, servicing or correction to any Equipment arising from your access to any Electronic Services or Third Party Services.

3. YOUR PAC RESPONSIBILITIES

You must keep your PAC and Personal Verification Questions strictly confidential.You must commit your PAC to memory and not record your PAC and Personal Verification Questions in any manner.

The Credit Union strongly recommends you change your PAC frequently (every 90 to 120 days).

Your PAC must not use numbers that are easy to guess such as a birth date, phone number, address, account number, etc.

You acknowledge that the Credit Union is not required to confirm the identity or authority of any person using your PAC to conduct Transactions.

If you know or suspect that unauthorized activity has occurred or that your PAC may have been compromised, you must change your PAC immediately and you must notify us by telephone or in person as soon as possible and follow any instructions that we give to you.   Notification is only made when you speak directly to an employee or other duly authorized representative of the Credit Union. In the event that someone has gained unauthorized access to your Account through the Electronic Services, and provided that you have met all of your responsibilities under this Agreement (including, without limitation those of security and confidentiality of your PAC), we will reimburse you for the money that you have lost from your Account. However, you will in no event be entitled to recover any consequential losses or damages as further detailed in Section 10(b) below.

4. YOUR ADDITIONAL SECURITY RESPONSIBILITIES

You acknowledge that ensuring the security of your information (including personal, financial and Transaction information) requires you to exercise safe computing practices. These safecomputing practices are in addition to your responsibility to maintain the confidentiality of your PAC as detailed above.

You must properly log off, disconnect and close your Internet browser after each session in which the Credit Union Internet Banking Services have been accessed.

The computer you use to access the Electronic Services may be vulnerable to viruses or online attacks that seek to intercept sensitive information that you provide through the Internet. To reduce the chances of harm, it is your responsibility to ensure that any computer you use to access the Electronic Services (including a computer at home, work, airport, etc.) has an up-to-date anti-virus program, anti-spyware program and firewall.

The practice of accessing your account information through publicly accessible computers and public wireless networks greatly increases the risk of possible unauthorized access to your accounts and is strongly discouraged. Use of these access points are to be avoided and if it is determined to be the compromise point, may have a negative impact on your ability to be compensated for your losses.

Your responsibilities with respect to security are further detailed in the Credit Union’s security policy, a copy of which can be obtained at any Credit Union branch or on our website by clickinghere.

5. TRANSACTIONS

You agree that when your PAC is used to conduct any Transaction, the authorization given by you at the time of the Transaction will have the same legal effect as if it were given by you in person, in writing and signed by you. You irrevocably authorize and direct the Credit Union to debit or credit, as the case may be, the amount of any Transaction to the Account or Accounts designated by you at the time of the Transaction, in accordance with the Credit Union's normal practices then in effect.

If an Account is held jointly, then each joint holder of that Account will be jointly and severally liable for all Transactions conducted using the Electronic Services or Third Party Services with respect to that Account.   When using the Electronic Services or Third Party Services, you will not be permitted to pay bills from, or transfer funds out of, any Account on which more than one signature is required to authorize a Transaction, unless prior authorization is received by the Credit Union in writing from all required signatories.

6. TRANSACTION VERIFICATION AND RECORDS

All Transactions are subject to verification and acceptance by the Credit Union, and if not accepted will be reversed from the Account. Verification may take place on a date later than the date you authorized the Transaction, which may affect the Transaction date.

You acknowledge that a Third Party payee (e.g., a merchant) may not treat payments made through the Electronic Services as being received on the date of your instructions. In no event will the Credit Union have any responsibility for any problems or disputes with Third Party payees of the Account Holder, including if a payee does not credit the Account for a payment for any reason or for any charges, fees or penalties assessed as a result of late payment. The Account Holder is responsible to settle all such disputes and matters directly with the payee.

You are responsible for ensuring that any instructions regarding the Accounts received by the Credit Union through the Electronic Services are true, complete and accurate. You acknowledge that the Credit Union will rely upon the truth, completeness and accuracy of your instructions.

The Credit Union’s records of Transactions will be conclusive and binding in any disputes, including any legal proceedings, as the best evidence of such Transactions in absence of clear proof that the Credit Union’s records are wrong or incomplete. If you believe that the Credit Union's records contain an error or omission, you must give written notice of the suspected error or omission to the Credit Union within the time provided in the Financial Services Agreement and/or Account Terms andConditions (including under any previous names used by the Credit Union for such agreements) between the Account Holder and the Credit Union for the relevant Account.

If the Credit Union makes an error or omission, for any reason, with respect to the recording of any Transaction, the liability of the Credit Union will be limited to the amount of the error or omission in recording, plus any applicable service charges that may have been charged to the Account Holder by the Credit Union.

The Account Holder agrees that the Credit Union will not be liable for any other loss, or (for greater certainty) any loss of business or profit or any other damage (direct, indirect or consequential) or delay or inconvenience whatsoever caused by or arising from any such error or omission.

For your and the Credit Union’s mutual protection, you agree that we may maintain a database of your instructions, and, if you provide instructions by telephone, that we may record your voice or responses.

The Credit Union may, at its option, maintain only electronic records related to your use of the Electronic Services.

7. SERVICE FEES

The Credit Union has established, or may establish service fees for use of the Electronic Services and for conducting Transactions and may change these service fees from time to time. The Account Holder authorizes the Credit Union to deduct any applicable service fees from any Account.

8. TRANSACTION PROCESSING

You agree that a Transaction becomes final once the Transaction request has been processed by the Credit Union and thereafter the Credit Union has no obligation to reverse the Transaction. A post-dated Transaction may be revoked or countermanded prior to the date on which it is scheduled to occur.

When you use the Electronic Services or a Third Party Service to make bill payments from an Account, transfer funds to another account or otherwise transfer funds out of an Account, you are responsible for ensuring the accuracy of any billing account number or recipient account numbers to which you intend to transfer funds. You are also responsible for ensuring you have sufficient funds in the Account to complete the transfer. The Credit Union will not be liable for any loss or damage as a result of funds being transferred to the wrong recipient as a consequence of your providing incorrect transfer information. The Credit Union will not be responsible or obligated to retrieve or return such funds to the Account Holder.

If you use a recurring payment feature that may be available, you agree that such feature will only attempt to make the recurring payment once. If you do not have sufficient funds in your Account to complete the payment at that time, the recurring payment feature will not re-attempt to make the payment.

The Credit Union reserves the right to apply daily limits and Transaction limits (e.g., dollar amounts, frequency, etc.).

9. OPERATIONAL LIMITATIONS AND INHERENT RISKS

The Credit Union offers the Electronic Services in order to improve the accessibility of the Credit Union to its members. However, the provision of Electronic Services is dependent in part on communication lines and other Third Party equipment and services.

You agree the Credit Union is not liable for any delay, loss, damage (direct, indirect or consequential) or inconvenience whatsoever caused by or arising from the provision of or failure to provide services or the malfunction or failure to operate any software or equipment for any reason whatsoever.

The Credit Union strictly manages access to its account holder services and financial systems and databases using technological and procedural systems to help ensure security is not breached. However, Internet communication involves inherent security risks. The Credit Union uses industry standard security techniques that include Secure Socket Layer (SSL) encryption to help ensure that personal and financial information is protected while in transit between the Equipment and Credit Union systems. You agree that the Credit Union cannot prevent, and is not liable for, interception of email or Internet communications by Third Parties.

10. DISCLAIMERS AND LIABILITY EXCLUSIONS/LIMITATIONS

(a)            Warranty Disclaimer

You agree that the Electronic Services, and access to Third Party Services, will be available only on an "as is" and "as available" basis, without any representations, warranties or conditions of any kind, express or implied, and including, without limitation, implied warranties of merchantability or fitness for a particular purpose, all of which are hereby disclaimed by the Credit Union to the fullest extent permitted by law.

                (b)            Consequential Damages Exclusion

Regardless of anything else in this Agreement, under no circumstances whatsoever (including for greater certainty and without limitation those circumstances listed in Sections 10(c) and (d) below) shall the Credit Union, its directors, officers, employees, agents, representatives or service providers be liable to you or any other person for any (i) indirect, special or consequential damages; (ii) damages resulting from business interruption; (iii) loss of profit, opportunity, reputation, revenue or goodwill, or any other commercial or economic loss whatsoever; (iv) loss of data or information; or (v) punitive damages.

                (c)            Credit Union Liability

The Credit Union is liable for direct losses to your Account resulting from:

  • Unauthorized access to your Account through the Electronic Services, provided that you have met all of your responsibilities under this Agreement (including, without limitation those of security and confidentiality of your PAC)

  • The fraud or wilful misconduct of the Credit Union’s own employees, duly authorized representatives or service providers

  • As contemplated in Section 6 above, an error or omission is made by the Credit Union with respect to the recording of a Transaction and you have given written notice of the suspected error or omission to the Credit Union within the time provided in the Financial Services Agreement and/or Account Terms and Conditions (including under any previous names used by the Credit Union for such agreements) between the Account Holder and the Credit Union for the relevant Account

The Credit Union shall not be liable to you for any other direct loss or damage.

You agree that your entitlement to recover direct losses to your Account as a result of unauthorized access to your Account as described above is contingent upon you fully co-operating and assisting the Credit Union or law enforcement investigation in the event that you have been victimized by an online fraudulent activity or improper access to your accounts.

(d)            Direct Damages Exclusions      

Under no circumstances shall the Credit Union, its directors, officers, employees, agents, representatives or service providers be liable to you or any other person for any direct loss or damage other than as described in Section 10(c) above, including (without limitation) direct loss or damage caused by:

  • Your failure to properly notify the Credit Union if you know or suspect that unauthorized activity has occurred or that your PAC may have been compromised

  • Any incorrect data you input using the Electronic Services or accessing the Third Party Services

  • Any failure by you to fulfill any of your obligations under this Agreement (including, without limitation, those of security and confidentiality of your PAC)

  • Your failure to carefully review Transaction records and/or notify the Credit Union in writing of any suspected error or omission within the applicable time limits as specified in the financial services agreement

  • Your inability to access any Electronic Services or Third Party Services as a result of any failure, error or malfunction even if caused by the negligence of the Credit Union or any of its employees, agents or service providers

  • Any failure by the Credit Union to perform or fulfill any of its obligations or provide any Electronic Services due to any cause beyond the Credit Union’s reasonable control (including acts of God, systems malfunctions, communications failures or delays, or technical failures)

  • Any other circumstances in this Agreement where it specifically provides that you are liable or the Credit Union will not be liable or responsible.

(e)            Application of Liability Exclusions and Limitations

The exclusions and limitations of liability described in this Agreement shall apply regardless of whether the cause of action is in contract (including, without limitation, breach ofa fundamental term), tort (including, without limitation, negligence), equity or other theory of law and regardless of whether the Credit Union was advised of the possibility of the loss or damage arising.

The exclusions and limitations of liability contained in this Agreement shall apply to the fullest extent allowed by law, but shall not apply to the extent (if at all) they are contrary to applicable law.

11. PRIVACY POLICY

By accessing and using Electronic Services, you acknowledge and accept our Internet Banking Privacy Policy and other privacy policies, as amended from time to time. We strongly encourage you to review our Internet Banking Privacy Policy. Click here to review.

12. TERMINATION

The Credit Union may, at any time and without notice, withdraw or suspend your permission to use any of the Electronic Services or Third Party Services, terminate this Agreement, or alter any of the Electronic Services and the Credit Union shall not be liable to you for any loss or damage resulting from such action.

You may terminate this Agreement by giving the Credit Union notice of termination. To notify the Credit Union you must call the Credit Union or speak to an employee at any branch. In the event of any dispute, the Credit Union’s records of notification will be deemed correct.

13. CHANGES TO AGREEMENT

The Credit Union may add to or change the terms and conditions of this Agreement from time to time. Such notice may be given to you in any one or more of the following ways:

  • A notice sent to you at the last address provided by you to the Credit Union

  • A notice displayed at the Credit Union branches

  • A notice displayed on our web site and/or on the login screens accessed when using the Electronic Services

  • A recorded notice when you access Telephone Banking Services

  • By requiring you to change your PAC and/or electronically accept the additional or amended terms and conditions of this Agreement at that time.

If you continue to use any of the Electronic Services or to access any Third Party Services after the effective date of any additional or amended terms or conditions to this Agreement, then you will be deemed to have accepted such additional or amended terms or conditions.

14. OTHER AGREEMENTS

The terms and conditions of the Financial Services Agreement, Account Terms and Conditions and any other conditions or agreements (including under any previous names used by the Credit Union for such agreements) between the Account Holder and the Credit Union regarding any Accounts shall remain in full force and effect and shall apply to each Transaction, except as expressly modified by the terms of this Agreement. If there is a conflict between any provision of any of these other agreements and this Agreement, this Agreement will prevail with the exception that the Financial Services Agreement and Account Terms and Conditions (or any previously named similar agreements) between the Account Holder and the Credit Union will prevail over this Agreement.

15. ARBITRATION

Any claim, dispute or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) arising out of or relating to: (a) this Agreement; or (b) any Electronic Services or Third Party Services, shall be referred to and determined by arbitration (to the exclusion of the courts). Such arbitration shall be referred to a single arbiter pursuant to The Arbitration Actof the Province where the Credit Union branch that administers your Account(s) is located. The arbitration shall take place in the location of the head office of the Credit Union. The decision of the arbiter shall be final and binding upon the parties. You agree to waive any right you may have to commence or participate in any class action against the Credit Union or any of its suppliers related to (a) this Agreement; or (b) any Electronic Services or Third Party Services and, where applicable, you agree to opt-out of any class proceedings against the Credit Union.

16. GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of the Province where the Credit Union branch that administers your Account(s) is located and the federal laws of Canada. You irrevocably submit and attorn to the exclusive jurisdiction of the courts of such Province for the determination of any matters under this Agreement.

17. SEVERABILITY

Any provision of this Agreement which is, deemed to be, or becomes void, illegal, invalid or unenforceable shall be severable from this Agreement and shall not impair the remaining provisions of this Agreement.

18. ENUREMENT

This Agreement shall enure to the benefit and be binding upon each of the Credit Union and the Account Holder and their respective successors, personal representatives, executors and administrators, as the case may be.

19. MOBILE BANKING AND MOBILE WEB

You agree we may provide you with access to Online Banking through Mobile Banking and/or Mobile Web.

You acknowledge you will not have access through Mobile Banking and/or Mobile Web to all Online Banking features, functionality, content or information and that the Equipment may not allow you to view all features, functionality, content or information. YOU AGREE TO ACCESS ONLINE BANKING ON A REGULAR BASIS NOT USING MOBILE BANKING OR MOBILE WEB TO ENSURE YOU HAVE ACCESS TO ALL ONLINE BANKING FEATURES, FUNCTIONALITY, CONTENT OR INFORMATION.

20. LINKS

Links to other websites may be made available, including those of a Third Party who may also provide services to you. You acknowledge that all those other websites and Third Party services are independent from the Credit Union’s website and Services and may be subject to separate agreements that govern use. The Credit Union has no liability for those other websites or their contents or the use of Third Party services. LINKS ARE PROVIDED FOR CONVENIENCE ONLY AND YOU ASSUME ALL RISK RESULTING FROM ACCESSING OR USING SUCH OTHER WEBSITES OR THIRD PARTY SERVICES. YOU AGREE TO INDEMNIFY AND HOLD THE CREDIT UNION AND ITS SERVICE PROVIDERS, INCLUDING THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, AFFILIATES AND LICENSEES HARMLESS FROM AND AGAINST ALL LIABILITIES AND COSTS OF ALL KINDS IN CONNECTION WITH ANY CLAIM ARISING OUT OF YOUR ACCESS OR USE OF SUCH LINKS, OTHER WEBSITES OR THIRD PARTY SERVICES.

21. THIRD PARTY SERVICES

As a convenience to Account Holders, the Credit Union may, from time to time, in its sole discretion, enter arrangements with Third Parties to permit Account Holders to access and use Third Party Services. You may, but are in no way required by the Credit Union to, use any Third Party Service. The Credit Union does not endorse any Third Party Service.

You expressly acknowledge and agree that: (a) each Third Party Service is provided by a Third Party independent of the Credit Union; (b) the provision of each Third Party Service is governed by the terms and conditions of any agreement between the Account Holder and the Third Party; and (c) the Credit Union has no responsibility or liability whatsoever for, or control over, any Third Party or Third Party Services. THE CREDIT UNION DISCLAIMS MAKING ANY WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, WITH RESPECT TO ANY THIRD PARTY SERVICES. You acknowledge that your access to and use of Third Party Servicesshall be solely at your own risk and responsibility. The Credit Union encourages you to exercise discretion when using the Third Party links on our website. If you have questions or concerns about a Third Party Service, you must contact the Third Party responsible for that Third Party Service. Any dispute that relates to Third Party Services is strictly between you and the Third Party and you agree not to raise any defense or claim against the Credit Union in respect thereof.

22. epost™SERVICES
The Credit Union may, from time to time, in its sole discretion, permit epost to provide epost™ Services as a Third Party Service. The Account Holder expressly acknowledges that the epost™ Services are a Third Party Service and that the provisions of Section 21 hereof apply in respect of the epost™ Services. Without limiting the generality of Section 21 above, if you obtain epost™ Services, you expressly: (a) consent to the collection, use and disclosure by epost and the Credit Union of information (including your personal information) relative to the performance and operation of the epost™ Services; (b) agree that the Credit Union is not responsible for damages you may incur if you communicate confidential or commercial information to epost™ or to an eBiller that creates or issues electronic documents that are presented to the Account Holder via the epost™ Services; and (c) agree that the Credit Union is not responsible to you,epost™ or any eBiller for any late, misdirected or failed payments or attempts to pay, regardless of the cause, or for any resulting fees, interest, penalties, damages or other charges imposed or incurred by you,epost™ or the eBiller.

23. EMT SERVICES

  • You agree we may make EMT Services available to you through Online Banking but we are not obligated to do so.

  • You agree EMT is only available in Canadian dollars.

  • You agree EMT service fees are non-refundable.

  • You agree that all disputes will be handled directly between the sender and the recipient.

Limits

  • You agree EMT Services are subject to number and dollar limits that may change from time to time without prior notice to you. Any such limits and changes will be effective when established by the Credit Union.

Initiating an EMT

  • You agree if you send an EMT using the EMT Service, you are solely responsible for providing correct and operational EMT Contact Information for the recipient and you will immediately update it via Online Banking if there are any changes to said contact information. You further agree that the recipient has consented to your use of the recipient’s EMT Contact Information for EMT Service purposes. YOU AGREE TO VERIFY THE EMT CONTACT INFORMATION BEFORE COMPLETING AN EMT.

  • As the sender of an EMT, you agree to create an effective EMT Answer and keep the EMT Answer confidential and not disclose it or share it with anyone but the intended recipient. YOU AGREE NOT TO INCLUDE THE EMT ANSWER IN THE EMT DETAILS OR ANY OPTIONAL MESSAGE THAT MAY ACCOMPANY THE EMT.

  • You agree if you send an EMT, the Account will be debited as soon as you initiate the EMT and a notice will be sent to the recipient’s EMT Contact Information as provided by you. The notice will identify you as the sender, and disclose your contact information, the transfer amount, the name of the recipient, and that you are using the EMT Service.

  • You acknowledge if you send an EMT, the Credit Union will hold the transfer amount until we receive notice the recipient has correctly provided the EMT Answer to successfully claim the EMT, or the EMT is cancelled or expired. THE CREDIT UNION WILL NOT PAY INTEREST ON THE TRANSFER AMOUNT FOR THE PERIOD OF TIME THE TRANSFER AMOUNT IS NOT IN YOUR ACCOUNT. TO THE EXTENT PERMITTED AT LAW, THE CREDIT UNION IS DEEMED TO HAVE A SECURITY INTEREST IN THE TRANSFER AMOUNT FROM THE TIME THE ACCOUNT IS DEBITED UNTIL THE RECIPIENT SUCCESSFULLY CLAIMS THE EMT OR THE EMT IS CANCELLED OR EXPIRED.

  • If you are a recipient and claim the EMT through CertaPay payment services, you agree the transfer amount will usually arrive in your account within 3 to 5 business days from the day you successfully claim the EMT. THE CREDIT UNION CANNOT GUARANTEE THE DATE OF THE DEPOSIT AND WILL NOT BE LIABLE FOR ANY COST, EXPENSE, LOSS, DAMAGE OR INCONVENIENCE OF ANY NATURE OR KIND WHATSOEVER INCURRED AS A RESULT OF A DELAY IN PROCESSING AN EMT.

  • You agree if you send an EMT, you are responsible for reviewing the status of any EMT sent by the EMT Service by checking your Account history in Online Banking.

Relying on an EMT Answer/Claiming or Declining an EMT

  • If you are a recipient, you agree you must correctly provide the EMT Answer to claim or decline the EMT.

  • If you are a recipient, you agree you will not disclose the EMT Answer to anyone.

  • If you are a recipient, you agree you may claim an EMT using the online banking services of the Credit Union or another Participating Financial Institution or through the CertaPay payment service.

  • If you are the recipient, you acknowledge if incorrect or insufficient information is provided, CertaPay or its agent may request additional or corrected information from you or may mail a cheque to you for the EMT amount.

  • You agree if you send an EMT, the Credit Union, the other Participating Financial Institution, and CertaPay or CertaPay’s agents are entitled to pay the transfer amount to anyone who, using the EMTService claims to bethe recipient and correctly provides the EMT Answer. THE CREDIT UNION WILL NOT BE LIABLE FOR ANY COST, EXPENSE, LOSS, DAMAGE OR INCONVENIENCE OF ANY NATURE OR KIND WHATSOEVER INCURRED AS A RESULT OF A PERSON OTHER THAN THE INTENDED RECIPIENT GUESSING OR OBTAINING THE EMT ANSWER, AND WILL NOT BE RESPONSIBLE OR OBLIGATED TO RETRIEVE OR RETURN SUCH FUNDS TO YOU. YOU ARE RESPONSIBLE TO SETTLE ALL SUCH MATTERS AND DISPUTES DIRECTLY WITHTHE RECIPIENT.

Cancelling an EMT

  • You agree as a sender of an EMT, you may cancel an EMT sent using the EMT Service unless the recipient has successfully claimed the EMT. As a recipient of an EMT, you acknowledge an EMT may be cancelled at any time by the sender before you have claimed the EMT.

  • You agree the Credit Union may cancel an EMT without notice to you if we have reason to believe a mistake has occurred or if we believe the EMT is a product of unlawful or fraudulent activity.

Expired EMT

  • You agree as a sender of an EMT, the transfer amount will be returned to the Account if the recipient does not claim or decline the EMT within 30 days of the date the EMT is initiated, or if the EMT cannot be successfully sent to the recipient’s EMT Contact Information as provided by you.

24. Transfers With External Accounts

If the Credit Union through Electronic Services enables you to transfer funds between the Account and an External Account, then;

  • You agree to inform the Credit Union in writing of the External Accounts you wish to link to the Account in a form acceptable to the Credit Union;

  • The Credit Union reserves the right to refuse to accept the External Account;

  • You agree to provide the Credit Union with the financial institution number, branch address or number, and the account number of the External Account you wish to link to the Account. The Credit Union reserves the right to verify the External Account;

  • You and the External Account holder must provide authorization to establish the link between the Account and the External Account;

  • You agree to not link the Account to an account that is not owned by you;

  • You acknowledge and agree that the Credit Union , at its discretion, may limit the type of transfers that can be conducted between the Account and the External Account; specifically whether transfers will be in the form of credits to the External Account, Debits to theExternal Account, or both credits to and debits from the External Account;

  • You may only link an Account denominated in US dollars to an External Account both denominated in US dollars and held at a Canadian financial institution;

  • The Credit Union reserves the right to limit the number of External Accounts that can be linked to the Account;

  • The Credit Union reserves the right to limit the dollar amount of transfers to or from the External Account;

  • The Credit Union reserves the right to limit the number of transfers to and from the External Account;

  • The Credit Union reserves the right to hold funds on the transfer amount;

  • You consent to the disclosure of any personal information provided to the Credit Union with respect to transfers to or from the External Account to the financial institution that holds the External Account;

  • Funds usually arrive in your External Account or Account within 3 to 5 business days from the day the request is initiated. The Credit Union cannot guarantee the date of deposit to the Account or External Account. The Credit Union will not be liable for any cost, expense, loss, damage, or inconvenience of any nature or kind whatsoever arising as a result of a delay in the processing of transfers;

  • All deposits and withdrawals will be reversed if the transfer cannot be delivered or if it is returned for any reason; and

  • You agree that for security purposes and at the Credit Union’s discretion, 1 cent may be credited to the External Account once per year.

25. Transfers with Linked Accounts

If the Credit Union through Electronic Services enables you to link multiple Accounts to a single user name to allow you to access the Accounts from a single user name, it will not constitute merging the Accounts. If the Accounts are linked through Electronic Services then;

  • The Credit Union reserves the right to refuse to accept any Account;

  • You agree that the Credit Union, at its discretion, may limit the type of transfers that can be conducted between the Accounts, specifically whether transfers will be in the form of credits to an Account, debits to an Account, or both credits to and debits from an Account;

  • The Credit Union reserves the right to limit the number of Accounts that can be linked;

  • The Credit Union reserves the right to limit the dollar amount of transfers to and from an Account;

  • The Credit Union reserves the right to limit the number of transfers to and from an Account;

  • The Credit Union reserves the right to apply a hold on the transfer amount to a linked Account for a period of time to be determined by the Credit Union during which time the transfer or portion thereof will not be accessible to you;

  • You agree that the Credit Union cannot guarantee the date of transfer to a linked Account. The Credit Union will not be held liable for any cost, expense, loss, damage, or inconvenience of any nature arising as a result of a delay in processing of transfers; and

  • All transfers will be reversed if the transfer cannot be delivered or if it is returned for any reason.

26. Personal Financial Management (PFM) Service

The terms of this Section 26 apply when you use the PFM Service (defined below). If there is a conflict between this Section 26 and the terms and conditions in the rest of this Agreement, then Section 26 will apply to the extent necessary to resolve the conflict.

Definitions that Apply to PFM ServiceOnly

For the purposes of this Section 26, the following words shall have the following meanings:

"External Account" means an account that you hold with a Third Party, which we allow you to view through the PFM Service;

"External Account Access Information" means any information that you must enter to access an External Account such as a client identification number, username, access code or password;

"External Account Provider" means any Third Party with which you have an External Account;

"PFM Account" means an External Account that you choose to be viewed through the PFM Service;

"PFM Content" means your External Account Access Information and PFM Information;

"PFM Information" means balance and transaction information relating to a PFM Account;

"PFM Service" means our personal financial management and account aggregation feature (that is accessed through Online Banking) that retrieves, organizes, consolidates and presents information to you about your PFM Accounts.

"PFM Service Provider" means a Third Party that we have retained to provide, or to assist us in providing, the PFM Service.

EnteringAccount Access Information

  • In order to access External Accounts to receive the PFM Service, you must input your External Account Access Information for each External Account. It will be stored and used to retrieve PFM Information to be presented to you.

  • You will ensure that your External Account Access Information is true, accurate and complete. You must update your External Account Access Information as soon as it changes in order for us to retrieve PFM Information.

  • You may also be required to input your PAC to access your Credit Union Account when you first sign up for the PFM Service. If this is the case, you must update your PAC as soon as it changes in order for us to retrieve PFM Information for the Credit Union Account.

Access to PFM Accounts

  • You authorize and direct us and the PFM Service Provider to do, on your behalf, everything necessary to provide the PFM Service to you and to retrieve, consolidate, organize and present PFM Information to you. For all purposes hereof, you hereby grant Central 1 Credit Union ("Central 1") and the PFM Service Provider a limited power of attorney, with full power of substitution and re-substitution, for you and in your name to visit the websites of External Account Providers and provide your External Account Access Information or other information required to register, access, retrieve and download PFM Information and to do and perform each and every act and thing required to be done in connection with the provision of the PFM Service as you might or could do in person.

  • You acknowledge that when you use the PFM Service, PFM Information is accessed and retrieved on your behalf and not on behalf of the External Account Provider.

  • You confirm that you have the right to give the Credit Union and the PFM Service Provider this authorization and direction.

  • We reserve the right to verify External Accounts and/or tohave External Accounts removed from the PFM Service at any time.

Proprietary Rights

  • You acknowledge that you are only permitted to use the PFM Information on the PFM Service, and you may not copy, reproduce, distribute or create derivative works from the PFM Information. You agree not to reverse engineer or reverse compile any of the service technology associated with the PFM Service.

  • You agree to license your PFM Content to Central 1 and the PFM Service Provider to be used, modified, displayed or distributed in order to provide the PFM Service to you. By submitting your PFM Content, you agree, or promise that the owner of the PFM Content has expressly agreed that Central 1 and the PFM Service Provider may use the PFM Content for the purposes set out above.

In addition, you agree to license your PFM Content to the PFM Service Provider: (i) for the purpose of providing you with access to your PFM Content through services similar to the PFM Service which are available at other financial institutions andprovided by the PFM Service Provider; and (ii) so that the PFM Service Provider can provide your PFM Content, including information regarding all of the accounts that you have registeredwith the PFM Service, to those other financial institutions for their use and so that they may provide or offer additional services to you.

Arrangements with External Account Providers

  • It is your responsibility to review your agreements with your External Account Providers to determine whether disclosure of your External Account Access Information to other parties that offer aggregation services (such as the PFM Service) is allowed, what the consequences of such disclosure are and your liability in connection with such disclosure.

  • You understand and agree that the PFM Information that is retrieved for you from External Account Providers is prepared by them and that we are not responsible for the completeness or accuracy of that information. The Credit Union and the PFM Service Provider will not be responsible or liable to you for any damages resulting from the use of or the inability to use PFM Information or the incompleteness or inaccuracy of data comprising the PFM Information.

  • You also understand that PFM Information continues to be subject to any terms or conditions imposed by the External Account Providers. You must access the website or online service of the External Account Provider to view any information or content (other than PFM Information) including any notices, disclosures or disclaimers.

    • including information regarding all of the accounts that you have registeredwith the PFM Service, to those other financial institutions for their use and so that they may provide or offer additional services to you.

    Arrangements with External Account Providers

    • It is your responsibility to review your agreements with your External Account Providers to determine whether disclosure of your External Account Access Information to other parties that offer aggregation services (such as the PFM Service) is allowed, what the consequences of such disclosure are and your liability in connection with such disclosure.

    • You understand and agree that the PFM Information that is retrieved for you from External Account Providers is prepared by them and that we are not responsible for the completeness or accuracy of that information. The Credit Union and the PFM Service Provider will not be responsible or liable to you for any damages resulting from the use of or the inability to use PFM Information or the incompleteness or inaccuracy of data comprising the PFM Information.

    • You also understand that PFM Information continues to be subject to any terms or conditions imposed by the External Account Providers. You must access the website or online service of the External Account Provider to view any information or content (other than PFM Information) including any notices, disclosures or disclaimers.

Disclaimers, Liability Limitations and Indemnification Requirements Specific to the PFM Service

  • You acknowledge and agree that the PFM Service is provided on an "as is" and "as available" basis, and that your use of the PFM Service is at your sole risk. You acknowledge and agree that the Credit Union, Central 1 and the PFM Service Provider expressly disclaim all warranties of any kind as to the PFM Service, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • You acknowledge and agree that the Credit Union, Central 1 and the PFM Service Provider make no warranties that:

    • the PFM Service will meet your requirements;

    • the PFM Service will be uninterrupted, timely, secure, or error-free;

    • the quality of any products, services, information or other material that you purchase or obtain through the PFM Service will meet your expectations; or

    • that any errors in the technology will be corrected.

  • You acknowledge and agree that you are solely responsible for any damage to your computer system or loss of data that results from the download of any material obtained through the use of the PFM Service.

  • You agree that none of the Credit Union, Central 1 or the PFM Service Provider nor any of their affiliates will be responsible for any damages, including, but not limited to, damages for loss of profits, use or data (even if the Credit Union, Central 1 or the PFM Service Provider have been advised of the possibility of such damages) resulting from:

    • your use or your inability to use the PFM Service;

    • the cost of getting substitute goods and services;

    • any products, data, information or services purchased or obtained or messages received or transactions entered into, through or from the PFM Service;

    • unauthorized access to or alteration of your transmissions or data;

    • statements or conduct of anyone on the PFM Service;

    • the use, inability to use, unauthorized use, performance or non-performance of any External Account Provider website;orany other matter relating to the PFM Service.
You agree to protect and fully compensate the Credit Union, Central 1, the PFM Service Provider and their affiliates from any and all third party claims, liability, damages, expenses and costs caused by or arising from your use of the PFM Service, your violation of this Section 26, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone in connection with the PFM Service.
Third Party Beneficiary
  • You agree that the PFM Service Provider is a third party beneficiary of the provisions of this Section 26, with all rights to enforce such provisions as if the PFM Service Provider were a party to the agreements that you have provided in this Section 26.
Marketing Consent for PFM Service
  • You understand and agree that if you have previously provided us with written consent to receive marketing and promotional offers, we are authorized to use your PFM Information to provide you with marketing and promotional information related to the PFM Service.
Withdrawal from PFM Service or Withdrawal of Marketing Consent
  • You can withdraw from the PFM Service and/or withdraw your consent to receive marketing and promotional offers at any time by contacting us at: 1-555-875-CALL (2255) or by mail at Box 455 – 1202 100th Street – Tisdale, SK S0E 1T0 and/or visit our website at www.cornerstonecu.com.If you withdraw from the PFM Service, the Credit Union may no longer be able to provide certain services, including, but not necessarily limited to, the PFM Service. You understand and agree that certain additional integrated services offered by the Credit Union may no longer be available. 

I have read, understood and agree to be bound by this Agreement.
